Overview : MLA is seeking an interim Fund Formation Attorney to assist our client’s dynamic in-house legal team. Candidates should have at least seven years of experience drafting and negotiating fund formation documents, managing fundraising processes, ensuring all filings are complaint, and advising clients throughout the fund formation process. A successful candidate should have excellent communication skills and be a savvy negotiator who can thrive in a fast-paced environment.

Responsibilities Include:
- Draft, review, and negotiate fund formation documents, including Board Resolutions, Side Letters, Subscription Materials, Private Placement Memorandum, Fund and GP Limited Partnership Agreements, Investment Management Agreements, and other related agreements.
- Manage and drive execution of fundraising processes for multiple strategies and co-investment funds.
- Conduct thorough legal research to support operating activities of a registered investment advisor, including with respect to fund formation and regulatory requirements.
- Manage and file necessary documentation related to regulatory filings, including under the AIFMD, securities laws, and financial services laws, ensuring all filings are compliant.
- Support internal and portfolio company operations by drafting and reviewing legal documentation, including vendor contracts, investment banker contracts, board arrangements and entity dissolutions.
- Maintain strong relationships with clients, providing them with expert legal guidance and support throughout the fund formation process.
- Work closely with other attorneys and legal staff to ensure seamless service delivery and support for clients.
Qualifications Include:
- Juris Doctor (JD) degree from an accredited law school; admission to a state bar and in good standing.
- 7+ years of experience in private equity fund formation and regulatory matters, with familiarity with international fundraising regulations.
- Proven ability to draft and negotiate Board Resolutions, Side Letters, Subscription Materials, Private Placement Memorandum, Fund and GP Limited Partnership Agreements, Investment Management Agreements, and other related agreements.
- Strong working knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Company Act of 1940, the Investment Advisers Act of 1940, and the Alternative Investment Fund Managers Directive AIFMD along with related rules and regulations.
- Familiarity with general commercial contracts and investment banker arrangements.
- Experience with financial and insurance regulators, including the FCA, is a plus.
- Compliance experience is a plus.
- Excellent analytical, communication, and negotiation skills.
- Ability to work independently and as part of a team in a fast-paced environment.
- Detail-oriented with strong organizational skills.
Pay Rate: $105/hour
