Verrus will build and operate next generation data centers that flexibly leverage its onsite infrastructure through the development of proprietary technology. Role :
Verrus is seeking a results-driven Commercial Counsel to join our growing legal team. In this role, you will support a broad range of commercial transactions across North America, helping shape the legal frameworks that enable our business to scale in alignment with Verrus’ mission and long-term strategy. You’ll provide practical, solutions-oriented legal guidance on high-impact business initiatives while ensuring compliance with applicable laws and regulations while identifying and helping mitigate risk. The Commercial Counsel will provide strategic, business-focused legal support to drive the company’s commercial initiatives and manage contractual relationships. This role will focus on structuring, drafting, reviewing, and negotiating a broad range of agreements, ensuring compliance with applicable laws and company policies, and minimizing legal risk while supporting business goals.
The Commercial Counsel will help operationalize legal processes, support revenue-generating activities, and be a key partner in facilitating scalable growth, and will help:
- Enable and accelerate business transactions by providing practical, solution-oriented legal advice.
- Protect the company’s interests through well-structured contracts and risk mitigation strategies.
- Enhance efficiency by creating templates, playbooks, and standardized procedures.
- Help ensure compliance with regulatory, privacy, and contractual obligations.
- Support cross-functional initiatives, including product development and roll-out, vendor engagements, and strategic partnerships.
This is a hybrid role based in Verrus’ Mountain View, CA office and will report directly to the General Counsel.
Responsibilities
- Structure, negotiate, draft, and review a wide range of project-related agreements, including supply chain contracts, equipment procurement and warranty terms, construction agreements, RFPs, vendor and development contracts, and non-disclosure agreements (NDAs), ensuring alignment with business objectives and risk mitigation strategies.
- Provide legal counsel to internal teams, including supply chain, finance and other departments on matters relating to legal risk, business strategy, and contract structuring.
- Help design, implement, and manage a comprehensive intellectual property program to identify, protect, and optimize the company’s innovations, trademarks, copyrights, and trade secrets.
- Assist in development, implementation, and oversight of compliance programs to ensure adherence to applicable laws, regulations, and internal policies, including those of SIP.
- Support certain sales, marketing, finance, acquisitions, operations, human resources, dispute resolution and other matters that may arise in a dynamic, start-up environment.
- Support continuous improvement of standard form agreements, templates, policies and legal processes related to the foregoing.
- Help advance the legal team’s maturity as may be required Verrus’ accelerating growth, including increasing efficiency, managing outside counsel spend, , increasing legal self-service options and knowledge management and other legal operational matters.
- Handle other special projects as requested.
Minimum Qualifications
- Juris Doctorate (JD) from an accredited U.S. law school and licensed to practice law in California.
- 5+ years of law firm and/or in-house commercial transactional experience, preferably with a broad range of commercial support, including supply chain and procurement
- Exceptional legal and commercial judgment, with the ability to navigate ambiguity and make sound, strategic decisions in complex and evolving situations.
- Significant experience in drafting and negotiating contracts.
- Demonstrated ability to manage multiple complex projects simultaneously, effectively prioritize tasks, and consistently meet deadlines while maintaining a high level of attention to detail.
- Strong interpersonal and leadership skills, including the ability to influence others to deliver on commitments and work with cross-functional teams.
Preferred Qualifications
- Understanding of commercial contracts, intellectual property law, construction contracts and governance, real estate matters, and/or employment/HR with a proven ability to offer practical, business-oriented legal solutions.
