Role Overview
The Senior Legal Counsel will serve as a strategic legal advisor to the business, providing high-level legal support across a wide range of corporate, commercial, compliance, and regulatory matters. This role will lead contract reviews, manage legal risk, advise business units on complex legal issues, and work closely with different departments and external counsel to support the company’s operations and growth initiatives. Senior Legal Counsel shall report to the Assistant General Counsel and General Counsel on all matters. The ideal candidate will have substantial experience in corporate law, regulatory compliance, commercial contracts, and cross-functional legal advisory work.
Key Responsibilities
Strategic Legal Advisory
- Serve as a legal advisor to internal stakeholders, providing proactive legal guidance on business strategies, transactions, and corporate governance.
- Advise senior management and business units on legal risks and opportunities related to commercial decisions and strategic initiatives.
Contract Management
- Draft, review, and negotiate a broad range of complex commercial agreements, including customer and vendor contracts, joint ventures, service agreements, and leases.
- Establish and enforce contract management policies and standards across departments.
Regulatory and Compliance Oversight
- Oversee the company’s compliance with applicable federal, state, and industry-specific regulations.
Corporate Governance and Transactions
- Support corporate governance initiatives, including board and shareholder matters, legal entity management, and drafting of resolutions and corporate policies.
- Assist in legal due diligence and structuring for mergers, acquisitions, and strategic partnerships.
Risk Management and Dispute Resolution
- Identify and evaluate legal risks and develop mitigation strategies.
- Manage pre-litigation and litigation matters, including coordination with outside counsel, review of pleadings, and strategic settlement evaluation.
Policy Development and Internal Training
- Lead the development and implementation of internal policies and procedures in line with legal and regulatory changes.
- Conduct training for internal stakeholders on legal topics, such as contract compliance, data protection, and ethical business practices.
Qualifications & Skills
- Juris Doctor (JD) degree from an accredited law school.
- Active license to practice law in New Jersey or ability to obtain limited in-house counsel license.
- 5–7 years of legal practice experience in a corporate setting or law firm, with a strong focus on commercial and corporate law.
- Demonstrated ability to lead legal matters independently and provide sound, business-oriented legal advice.
- Strong negotiation, drafting, and analytical skills.
- Excellent interpersonal and communication skills with the ability to engage and influence stakeholders at all levels.
- Proficient in legal research tools and standard business software (e.g., Microsoft Office, document management systems).
