Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for a Deputy General Counsel.
Overview : MLA is seeking strategic and business-oriented Deputy General Counsel to provide executive leadership and legal guidance on a range of legal topics with focus on M&A, securities, corporate governance, and commercial contracts. Reporting to the Chief Legal Officer, this role partners closely with the legal team, corporate development, and business leadership to support the company’s growth and operations. An ideal candidate will play a key role in managing legal operations and overseeing the commercial legal team, while also collaborating with labor & employment, litigation, and compliance attorneys.

Experience: 10+ years of experience working in M&A, securities law, and corporate governance, with a mix of law firm and in-house experience at a public company.
Location: 5 days per week on-site in Oak Brook, IL.
Responsibilities Include:
- Lead legal support for M&A transactions, including due diligence, drafting and negotiating agreements, and post-closing integration.
- Oversee SEC reporting, including proxy statements, 10-K, 10-Q, 8-K, and Forms 3/4/5.
- Advise on securities law and corporate governance matters, staying ahead of evolving legal requirements.
- Manage corporate governance and entity management activities.
- Support board and committee operations, including preparation of materials and annual stockholder meeting.
- Advise on investor relations matters, including earnings announcements, press releases, and investor communications.
- Provide leadership to legal team members supporting commercial contracts, while personally handling drafting and negotiation of key contracts.
- Collaborate with labor & employment, litigation, and compliance attorneys to ensure comprehensive legal support.
- Drive continuous improvement in legal operations and processes.
- Develop a deep understanding of the company’s business model and strategic objectives to align legal support with company priorities.
- Take on expanded leadership responsibilities over time, including oversight of additional legal areas.
Qualifications Include:
- Juris Doctor (JD) from an accredited law school and active member in good standing of the Illinois Bar (or eligible for House Counsel status in Illinois).
- 10+ years of experience in M&A, securities law, and corporate governance, with a mix of law firm and in-house experience.
- Supply chain experience is a plus.
- Expertise in SEC and NASDAQ compliance, corporate governance trends, and public company reporting requirements.
- Proven ability to draft and negotiate complex M&A agreements, including NDAs, equity transactions, asset purchases, and rep & warranty insurance.
- Experience in commercial contracts and working with business teams on legal negotiations.
- Prior experience leading legal teams and departments and expanding responsibilities across additional legal areas is a plus.
- Strong ability to manage outside counsel effectively and cost-efficiently.
- Exceptional communication skills, with the ability to advise executives, board members, and internal stakeholders.
- Highly organized and adept at managing multiple priorities in a fast-paced environment.
- Strong business acumen, sound legal judgment, and a pragmatic problem-solving mindset.
- Able to be a collaborative, team-oriented leader who can build strong relationships and commitment to working onsite at Oak Brook headquarters.
- Willingness to travel as needed.
