Job Purpose
The General Counsel & Company Secretary, Blue Earth Group, (includes Blue Earth Diagnostics Inc., Blue Earth Diagnostics Ltd. and Blue Earth Diagnostics Ireland Ltd., collectively, “the Company”) is the chief legal officer of the Company and provides expert, business-focused legal counsel, and strategic legal services of the highest possible standard to the CEO, leadershjp teams, and Boards of Directors. The General Counsel oversees all legal matters for the Company, including commercial transactions and contracts, litigation management, corporate governance, and regulatory legal support. The General Counsel leads and ensures effective management and professional development of the Company’s Legal team, including its’ staff and resources, to ensure the Company is provided with expert and strategic legal advice, as well as setting internal governance policies. He/she works closely with other senior executives of the Blue Earth and Bracco affiliates to ensure effective communication and information flow that facilitates effective decision-making and enables the Blue Earth group companies to deliver on their corporate objectives. The General Counsel also collaborates closely with the Chief Compliance Officer and global legal counterparts to ensure alignment with the Company’s overall legal and risk posture.
This position will operate on a hybrid work schedule, with the expectation of working onsite 3 days a week in our office located at 197 First Avenue, Needham, MA.
Main Responsibilities, Activities, Duties And Tasks
- Participate with executive leadership in strategy execution, operational excellence initiatives, and general leadership of the business.
- Legal
- Serve as the primary legal advisor to the Company’s executive teams, delivering pragmatic and strategic legal guidance across all functions.
- Advise on contentious and non-contentious issues including in the areas of corporate governance, investment, IP licensing and business development, and drug research, development, and commercialization.
- Provide legal support on matters related to FDA regulatory law, including advertising and promotion, labeling, clinical development, and product launch strategies.
- Advise on intellectual property matters in collaboration with global IP counsel and external partners, including patent strategy, freedom-to-operate analysis, and licensing terms; support the company’s global patent and trademark intellectual property portfolio, working in collaboration with R&D and Bracco IP colleagues, to facilitate the protection, ownership and commercialization of Blue Earth group intellectual property rights in alignment with the Blue Earth IP strategy.
- Overseeing and/or drafting, reviewing, and negotiating a variety of commercial contracts including but not limited to: vendor agreements, complex licensing agreements, confidentiality agreements, master service agreements, clinical trial agreements, clinical supply agreements, technical services agreements, software license agreements, safety data exchange agreements, laboratory services agreements, consulting agreements, R&D agreements, distribution and manufacturing agreements.
- Support corporate transactions such as partnerships, joint ventures, investments, and other strategic and/or corporate initiatives.
- Develop and/or maintain efficient legal processes for contract management, legal risk assessment, and document retention.
- Overseeing development and delivery of internal legal training programs.
- Conduct legal research and analyses on specific issues and provide actionable recommendations.
- Ensure effective processes and systems for the execution of contracts and other legal documents by authorized signatories and that complete and accurate copies of contract documentation are kept and are accessible.
- Coordinate the organization’s response to litigation or any potential legal challenges.
- Implement a risk assessment process and support the CEO and Executive team with periodic reviews and updates of strategic risk assessments.
- Oversight and management of external legal advisers to ensure efficient and cost-effective delivery of external legal services to the Company.
- Manage the Legal department budget for the Company and monitor the Company’s legal expenses to ensure value and cost effectiveness.
- Governance/ Company Secretary
- Advise the Boards and management on corporate governance best practices to support effective and compliant decision-making while mitigating legal risks.
- Coordinate and plan executive corporate meetings in coordination with Corporate Affairs.
- Arrange Board of Director’s meetings, Annual Shareholders Meeting, and different executive level events as needed.
- Serve as Corporate Secretary for Blue Earth US, UK and Ireland affiliates, managing Board and committee meetings, maintaining corporate records, drafting corporate resolutions, and ensuring adherence to relevant corporate laws,
- Develop, implement, and oversee governance framework that ensures effective and efficient decision making by Boards and Executive teams through proper vertical and horizontal information flows.
- Provide strategic support to the Chief Executive and Executive Committee in matters relating to governance and legal compliance and take a proactive role in ensuring that applicable policies and processes are appropriate and effective.
- Ensure appropriate corporate housekeeping and promote a culture of effective management of governance to ensure that corporate documents, board resolutions, meeting minutes, etc. are properly documented, stored and maintained in good order.
- Provide high quality legal input to the deliberations of the Boards and the Executive as requested.
- Recommending and implementing appropriate internal delegated financial and signatory authorities, in collaboration with Bracco Corporate Affairs.
- Collaboration with Compliance
- Work closely with the Chief Compliance Officer to ensure alignment on legal and compliance-related matters, particularly in areas of regulatory interpretation, policy development, and risk mitigation.
- Provide legal guidance to support compliance initiatives and corporate policies when appropriate, while deferring primary compliance responsibility to the Chief Compliance Officer.
- Other duties as determined by business needs
- Juris Doctor (JD) from an accredited law school; admitted to practice law in at least one U.S. jurisdiction.
- A science degree in a relevant field is an advantage.
- An experienced life sciences lawyer with at least –10+ years’ legal experience, including a combination of experience at a pharmaceutical, biotechnology or other life sciences company, and experience in a top-tier law firm advising pharma / life science clients.
- An experienced legal leader who has experience in leading a legal function and managing change and a track record in building strong corporate governance.
- Must have prior experience advising on commercial contracts, intellectual property law, and legal and regulatory matters applicable to pharmaceutical companies, and commercial legal issues.
- Experience providing legal advice for a wide range of regulatory matters, particularly FDA laws/regulations and applicable laws/regulations related to the marketing of drug products (i.e., advertising, promotion, labelling).
- Demonstrated ability to work independently and manage a lean legal function.
- Experience supporting the governance and legal operations of a private company; prior service as Corporate Secretary or Assistant Secretary strongly preferred.
- Strong business acumen and ability to deliver clear, actionable legal advice aligned with business priorities.
- Excellent interpersonal and written/verbal communication skills, with the ability to influence across all levels of the organization.
- Collaborative leadership style with the ability to partner effectively with Global Legal Affairs & Compliance, Sales/Marketing, Finance, Regulatory, R&D, and other internal departments and teams.
- Strong organizational and project management skills, with attention to detail and ability to handle multiple priorities.
- Strong commercial understanding with ability to provide entrepreneurial, pragmatic, business-oriented advice.
- Working in a large, fast-paced environment with a high level of integrity, professionalism and outstanding business judgment.
- Ability to engage and manage multiple stakeholders to achieve corporate objectives.
- A proven ability to manage complex legal projects and work collaboratively with senior management.
- Ability to balance the long-term interests of the business with legal and regulatory requirements.
- Strong analytical skills and attention to detail, with an ability to work independently.
- Thinks strategically to anticipate future trends and changing client needs.
- Organizes and continuously improves processes, whilst minimizing bureaucracy and roadblocks.
- Must be comfortable and confident counseling, interacting with and providing direct and frank advice/input to C-level executives and Directors.
