Overview
Position Overview: We are seeking a highly experienced and motivated Compliance Counsel to lead our Global Anti-Bribery and Anti-Corruption (ABAC) program. The successful candidate will be responsible for developing, implementing, and overseeing policies and procedures designed to ensure compliance with global anti-bribery and anti-corruption laws. This role requires a strategic thinker with strong leadership skills and a deep understanding of international compliance standards.
How you'll make an impact
In coordination with the Chief Global Compliance Officer and Chief International Trade Counsel:
- Supervise the team, within the Gallagher Global Centre of Excellence for Financial Crime and International Trade (the “CoE”), responsible for the Gallagher global anti-bribery and anti-corruption (ABAC) compliance program framework.
- Design a compliance framework and oversee a plan for ABAC compliance globally.
- Facilitate the design of the appropriate policies and processes for the management of high risk third party representatives, and gifts and entertainment risk management globally.
- Supervise a Third Party Representative integrity diligence team and corresponding processes and systems.
- Provide thought leadership, updates and advice to global compliance and legal colleagues and business partners on anti-bribery and anti-corruption matters.
- Liaise with various internal stakeholders on matters related to the anti-bribery & anti-corruption program (enterprise risk management, finance, audit, etc.)
- Contribute to ABAC team planning and budgeting plans and processes.
- Facilitate the design and rollout of ABAC training.
- Design and support deployment of ABAC risk assessments to be performed and maintained across the global businesses as appropriate on a risk basis.
- Build a network of contacts globally to help manage the ABAC compliance framework.
- Be a senior point of escalation for ABAC queries and issues affecting the business.
- Chair the Global Third Party Compliance Committee.
- Foster a culture of integrity and ethical behavior throughout the organization.
Deliver the ABAC elements of the CoE ABAC Strategies:
- Work closely with Chief Global Compliance Office, Chief International Trade Counsel, Regional Compliance, and UK Director of Financial Crime on the ABAC global and regional strategies, and on effective delivery of the ABAC elements of the Global Gallagher strategies.
- Prepare and present reports to senior management and the board of directors on the status of the ABAC program and any significant compliance issues.
- Interface with Internal Audit to respond to audits and address findings, if any.
- Seek out internal client feedback aimed at continuously improve the ABAC team.
- Build and maintain strong working relationships with key stakeholders to gain insight to the business and control environment.
- Manage ABAC projects or provide work stream support on business-led projects and M&A integration projects.
Data Reporting:
- Present and report data to support the running of the business; including KRI reporting to the Enterprise Risk Management team.
- Work with the wider AJG Compliance organization to provide support, advice and guidance on an appropriate ABAC framework, policies and procedures designed to guide the business to identify, assess and manage these risks.
- Support financial crime investigations, including making or coordinating legal and regulatory notifications / reporting.
- Coordinate maintenance of appropriate and statutorily required records.
Lead and Develop the ABAC team within the CoE:
- Create an engaged, motivated and collaborative team culture designed to achieve optimum performance.
- Coordinate, design or participate in change programmes across the business, finding creative ways to embed and adapt to change in ABAC laws and business models.
- Support setting clear team and individual objectives; carry our regular individual performance reviews; and directly link rewards to behaviours and performance against objectives.
- Oversee the development and training of the team, including the promotion of continuous professional development and advocacy of professional qualifications.
- Through effective succession planning, seek opportunities to develop team members that could become future managers and leaders in the Compliance team or within the wider business.
- Undertake effective resource planning through monitoring retention risks and promptly acting to mitigate these to avoid skill or knowledge gaps that could impact the business.
- Help to coordinate and design ABAC training and awareness initiatives.
About You
Required:
- Minimum 10 years related experience.
- Bachelor's Degree Required.
Preferred:
- Juris Doctor (JD) or Bachelor of Law Degree from an accredited law school.
- Admission to practice law in at least one jurisdiction.
- Minimum of 10 years of experience in compliance, with a focus on anti-bribery and anti-corruption.
- Strong knowledge of global anti-bribery and anti-corruption laws, including the Foreign Corrupt Practices Act (FCPA) and the UK Bribery Act.
- Proven experience in developing and implementing compliance programs in a multinational organization.
- Excellent leadership and team management skills.
- Strong analytical and problem-solving abilities.
- Exceptional communication and interpersonal skills.
- Ability to work effectively in a fast-paced, dynamic environment.
